Merijeet.com is an initiative by the parent group AIWA. Your relationship with Merijeet.com ("Merijeet.com", "we" or "us" as the case may be) provides the Service (defined below) to you, subject to the following Terms and conditions(TNC), which may be updated by us from time to time without notice to you. (2) Details about services provided by Merijeet.com Merijeet.com currently provides users with access to a rich collection of on-line resources, success stories, winning speeches ,projects,play,debate,elocution,poem including, various communications tools, online forums, personalized content and branded programming through its network of properties (the "Service"). The Service (or parts of it), at Merijeet.com´s discretion, may be accessed or made available through or via various mediums or devices now known or hereafter developed, including but not limited to the World Wide Web, mobile telephone or communications services (such as SMS (Short Message Service)), and/or other Internet or telecommunications services or protocols collectively the "Channels". You also understand and agree that that the Service may include certain communications from Merijeet.com such as service announcements, administrative messages and the Merijeet.com Newsletter, and that these communications are considered as part of the Merijeet.com membership and you will not be able to opt out of receiving them. You agree that any new feature added on Merijeet.com shall be accepted by you. You understand and agree that the Service is provided "AS-IS" and that Merijeet.com assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. In order to use the Service, you must obtain access to the various means of channel and the service fees for such means of access would be totally borne by you. Such fees and payment terms may be changed from time to time, and such changes will be notified to you, whether by email or by notices or links to notices on the Service or by other appropriate means. You acknowledge that certain parts of the Service are available only via certain Channels. You also acknowledge that we are not responsible or liable in any way for your access to the Service or your use of any Channels. You acknowledge that any equipment cost has to be borne personally by you to access services on Merijeet.com If any alteration in the whole or any part of Service requires changes in your hardware, software or other equipment, you must effect these changes at your own expense. Although Merijeet.com exercises due diligence to ensure that any obscene content posted by users in violation of the TNC is promptly removed, users may sometimes come across user-posted obscene content that we have not yet discovered. Users shall make best endeavors to make Merijeet.com aware of such obscene/objectionable content that they come across while using the service. (3)YOUR REGISTRATION OBLIGATIONS In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form and maintain and promptly update the Registration as and when . If you share content on the service in a way that infringes others' copyrights, other intellectual property rights, or privacy rights, you're breaching this contract. You represent and warrant that you have all the rights necessary for you to grant the rights in this section and the use of the content doesn't violate any law. We won't pay you for your content. We may refuse to publish your content for any or no reason. We may remove your content from the service at any time if you breach this contract or if we cancel or suspend the service. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, you grant Merijeet.com the following worldwide, royalty-free and non-exclusive license(s), as applicable: With respect to Content, photo, certificates, graphics and other reading and advertising information you submit or make available for inclusion on publicly accessible areas of Merijeet.com, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purposes of providing and promoting the specific Merijeet.com to which such Content was submitted or made available. This license exists only for as long as we elect to continue to include such Content on the Service and will terminate at the time Merijeet.com removes such Content from the Service.. (6)Payment You must be authorized to use the payment method that you enter when you create a billing account. You authorize us to charge you for the service using your payment method and for any paid feature of the service that you choose to sign up for or use while this contract is in force. We may bill: (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for subscription services. Also, we may charge you up to the amount you've approved, and we'll notify you in advance of the difference for recurring subscription services. We may bill you simultaneously for more than one of your prior billing periods. Once we have informed you that the service will be provided indefinitely or automatically renewed, we may automatically renew your service and charge you for any renewal term. All the payments are to be done in favor of ´AIWA´ (8) Access to your billing account You can access and check your billing account usage on the Administration link. (9) Trial period offers Unless we notify you otherwise, if you're participating in any trial period offer, you must cancel the service by the end of the trial period to avoid incurring new charges. If you do not cancel your service and we have told you the service will convert to a paid subscription at the end of the trial period, you authorize us to charge your payment method for the service. (10) Prices and price increases The price stated for the service excludes all taxes and phone charges, unless stated otherwise. You're responsible for any taxes and for all other charges (for example, phone charges and currency exchange settlements). We'll notify you in advance if we change the price of the service. If there's a specific length and price for your service offer, that price will remain in force for that time. After the offer period ends, your use of the service will be charged at the new price. If your service is on a period basis (for example, monthly) with no specific length, we'll notify you of any price change at least 30 days in advance. If you don't agree to these changes, you must cancel and stop using the service before the changes take place. If you cancel, your service ends at the end of your current service period or, if we bill your account on a period basis, at the end of the period in which you canceled. (11)CONTRIBUTIONS TO MERIJEET.COM By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to Merijeet.com through its suggestion or feedback web pages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) Merijeet.com is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) Merijeet.com shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) Merijeet.com may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of Merijeet.com without any obligation of Merijeet.com to you; and (f) you are not entitled to any compensation or reimbursement of any kind from Merijeet.com under any circumstances. (12) DEALINGS WITH THIRD PARTIES The Service may also include access to products and services of independent third parties either directly or via links to sites operated by such third parties. Where these products and services of third parties form part of the Service, we will endeavor, but are not obliged to, indicate that these products and services are provided by third parties. You further acknowledge and agree that Merijeet.com shall not be responsible or liable, in any manner whatsoever, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource. (14) Refund policies Unless otherwise provided by law or by a particular service offer, all charges are earned when received and are nonrefundable, and the costs of any returns will be at your expense (15) MEMBER ACCOUNT, PASSWORD AND SECURITY You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Merijeet.com of any unauthorized use of your password or account or any other breach of security at (info.merijeet@gmail.com) and (b) ensure that you exit from your account at the end of each session. You must not: damage, disable, overburden, or impair the service (or any network connected to the service); resell or redistribute the service or any part of it. You may be able to access third-party websites or services via the service; you acknowledge that we are not responsible for such websites or services or content that may be available there. Content would also be disclosed in response to claims by third parties if any of their rights is violated or in response to the requests from customers, users or public and if to protect the rights, property, or personal safety of Merijeet.com (17) INTERNATIONAL USERS Recognizing the global nature of the Internet, you agree to comply with all applicable laws, statutes, regulations, rules and codes regarding online conduct and acceptable Content and use of relevant Channels. (18) INDEMNITY You agree to indemnify and hold Merijeet.com, and our licensors, suppliers, vendors, parent, subsidiaries and related companies, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Content you submit, post to or transmit or make available through the Service, your use of the Service, your connection to the Service, your use of any Channels, your violation of the TNC, or your violation of any rights of any other person, or your breach of any applicable law. (21) TERMINATION OF SERVICES You agree that Merijeet.com, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if Merijeet.com, in its sole opinion, believes that you have violated or acted inconsistently with the letter or spirit of the TNC or that you are a repeat infringer of intellectual property rights. Merijeet.com may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice, whether for selected or all Channels. You agree that any termination of your access to the Service under any provision of this TNC may be effected without prior notice, and acknowledge and agree that Merijeet.com may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that Merijeet.com shall not be liable to you or any third-party for any termination of your access to the Service. (22) MERIJEET.COM'S PROPRIETARY RIGHTS You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws and you agree that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by us or advertisers, you agree not to modify, adapt, rent, lease, loan, sell, distribute or create derivative works based on the Service, the Software or the Content (excluding Content owned by you), in whole or in part. (24) LIMITATION OF LIABILITY You expressly understand and agree that we and our licensors, suppliers, vendors, parent, holding, subsidiary and related companies, affiliates, officers, agents and employees shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we or our licensors, suppliers, vendors, parent, holding, subsidiary or related company, affiliate, officer, agent or employee, as the case may be, have been advised of the possibility of such damages), resulting from: (i) The service, the materials and the products; (ii)Unauthorized access to or alteration of your transmissions or data; (iii) Statements or conduct of any third party on the service; (iv)Content (including code) on third-party websites, third-party programs, or third-party conduct accessed via the service. (v)Viruses or other disabling features that affect your access to or use of the service. (vi) The use or the inability to use the service; (vii) Any goods or services disposed of or messages sent or received using the service; or (viii) The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (ix) Any other matter relating to the service, the materials or the products. (25)SPECIAL ALERTS FOR SERVICES RELATING TO FINANCIAL MATTERS If you intend to create or join any service, receive or request any news, messages, alerts or other information from the Service concerning companies, stock quotes, investments or securities, please understand that Merijeet.com and its licensors shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the Service, and shall not be responsible or liable for any trading or investment decisions based on such information. (26) NO THIRD-PARTY BENEFICIARIES You agree that, except as otherwise expressly provided in this TNC, there shall be no third-party beneficiaries to this agreement. (27) NOTICE Notices to you may be made via either email or regular mail. The service may also provide notices of changes to the TNC or other matters by displaying notices or links to notices to you generally on the service. You agree that such notices by email or regular mail, and such display of notices or links to notices to you generally on the Service, will constitute sufficient and adequate notice to you of the matters contained therein. (28) TRADEMARK INFORMATION You agree that without Merijeet.com prior permission, you will not publicly display or use in any manner any feature displayed on Merijeet.com. All of Merijeet.com trademarks, trade names, service marks and other Merijeet.com logos and brand features, and product and service names are trademarks and the property of Merijeet.com. No Right of Survivorship and Non-Transferability. You agree that your Merijeet.com account is non-transferable and any rights to your Merijeet.com ID or contents within your account terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted. Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TNC must be filed within one (1) year after such claim or cause of action arose or be forever barred.
